1 Acceptance of Terms

Welcome to BK DEV ("Agency", "we", "us", or "our"). These Terms & Conditions govern the relationship between BK DEV Agency and any client, individual, or business entity ("Client", "you") engaging our digital services, including web development, mobile application engineering, UI/UX design, digital marketing campaigns, and technical consulting.

By executing a project proposal, issuing a deposit payment, or accessing our services at bkdev.agency, you acknowledge that you have read, understood, and agreed to be legally bound by these Terms & Conditions.

2 Scope of Digital Services

BK DEV provides bespoke digital agency services agreed upon in individual statements of work (SOW) or project proposals, including but not limited to:

• Custom Full-Stack Web Development: Custom web platforms engineered with React, Next.js, Node.js, Python, PHP/Laravel, and modern cloud architectures.
• Mobile Application Development: Native and cross-platform mobile apps for iOS and Android built on Flutter and React Native.
• UI/UX Design & Brand Identity: High-fidelity wireframing, Figma design systems, brand guidelines, and interactive prototypes.
• Performance Digital Advertising: Campaign setup, copywriting, creative assets, and conversion rate optimization across Google Ads, Meta Ads (Facebook & Instagram), and TikTok Ads.
• E-Commerce Solutions: WooCommerce, Shopify, and custom Stripe payment gateway integrations with secure transaction processing.

3 Project Estimates, Invoicing & Payment Terms

All project estimates and quotes remain valid for 30 calendar days from the date of issue. To initiate work, BK DEV utilizes a transparent, milestone-based payment structure:

• Initial Deposit: A 50% non-refundable deposit is required prior to project kick-off, milestone scheduling, and sprint planning.
• Milestone Payments: For extended or enterprise builds, payments are divided into predetermined sprint deliverables (e.g., 40% initial, 30% beta approval, 30% final deployment).
• Final Balance: The remaining 50% (or final milestone) is due upon client review and approval, prior to production deployment, live domain migration, or delivery of master source code repositories.
• Accepted Payment Methods: We accept electronic bank transfers, wire transfers, and credit card payments processed securely via Stripe.

4 Client Responsibilities & Content Provision

To ensure project deadlines are met, the Client agrees to:

• Provide all necessary branding materials, text copy, high-resolution imagery, and product assets within agreed sprint timelines.
• Designate a single primary point of contact authorized to make binding design and technical approvals.
• Furnish required hosting, domain registrar, and third-party API credentials promptly when requested.
• Ensure that all materials provided do not infringe upon any third-party copyrights, trademarks, or intellectual property rights.

5 Intellectual Property & Code Ownership

Upon full and final payment of all outstanding invoices:

• Transfer of Ownership: The Client receives exclusive ownership of the customized website design, front-end code, client-specific assets, and graphical deliverables created explicitly for the project.
• Proprietary Frameworks & Open Source: BK DEV retains ownership of proprietary internal boilerplates, libraries, and tools. Open-source libraries (e.g., React, Bootstrap, FontAwesome) remain subject to their respective MIT, Apache, or GNU open-source licenses.
• Portfolio Display: BK DEV reserves the perpetual right to showcase completed project screenshots, mockups, and client testimonials within our portfolio, case studies, and marketing collateral, unless a formal Non-Disclosure Agreement (NDA) stipulates otherwise.

6 Revisions & Scope Modifications

Every proposal includes up to two (2) rounds of revisions per milestone phase (e.g., wireframe revision, prototype review, staging feedback). Any design changes, additional feature requests, or technical modifications requested after milestone sign-off constitute a change of scope and will be billed at our standard hourly engineering rate.

7 Warranty & Post-Launch Support

BK DEV stands firmly behind the quality of its craftsmanship:

• 30-Day Bug Warranty: We provide 30 calendar days of complimentary post-launch bug fixing for any functional defects or code errors identified in the original approved scope of work.
• Exclusions: This warranty does not cover issues resulting from unauthorized third-party modifications to the codebase, server/hosting downtime, or third-party API disruptions outside our control.
• Ongoing Maintenance Retainers: Continued 24/7 technical support, security patching, database backups, and feature enhancements are available under our monthly agency retainer agreements.

8 Limitation of Liability

To the fullest extent permitted by applicable law, BK DEV Agency, its founders, contractors, and employees shall not be liable for any indirect, incidental, consequential, special, or punitive damages—including loss of profits, revenue, data, or business interruption—arising from the use or inability to use the delivered digital solutions.

In all circumstances, our maximum aggregate liability shall not exceed the total fees actually paid by the Client to BK DEV for the specific project under dispute.

9 Termination of Agreement

Either party may terminate a project agreement upon written notice of at least seven (7) business days. In the event of early termination, the Client shall compensate BK DEV for all billable hours worked and milestone phases completed up to the termination date. All initial deposit fees are non-refundable.
